Welcome to Armstrong Limited ("we," "us," or "our"). These Terms of Service (“Terms”) govern your use of our website, platform, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.


1. Acceptance of Terms

By accessing or using Armstrong Limited’s Services, you confirm that:

  • You are at least 18 years old or have the legal capacity to enter into agreements.

  • You will comply with all applicable laws and regulations.

  • You accept and agree to comply with these Terms, as well as any policies and guidelines referenced herein.


2. Account Registration & Security

  • Registration: Certain features of our Services require an account. To register, you must provide accurate, current, and complete information.

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

  • Notification: You agree to notify us immediately of any unauthorized use of your account or any other breach of security.


3. User Roles & Obligations

3.1 Buyers

  • Bidding & Purchases: Buyers may browse listings, place bids in auctions, and purchase items. Each bid is legally binding once submitted.

  • Payment: If you win an auction or make a purchase, you must complete payment within the timeframe specified in the auction listing or invoice.

  • Item Inspection: Buyers are responsible for reviewing item descriptions, photos, and (if applicable) inspecting items in person before bidding.

3.2 Vendors (Sellers)

  • Listing Requirements: Vendors must provide full and accurate details—including descriptions, photos, and reserve prices (if applicable)—for each listing.

  • Ownership & Legality: Vendors warrant that they have the legal right to sell the listed items, that the items are free of liens or encumbrances, and that they comply with all applicable laws.

  • Fulfillment: After an item sells, the vendor must coordinate payment receipt and item delivery or pickup according to the specified timeline.

3.3 General User Obligations

  • You must not engage in fraudulent bidding or other dishonest practices.

  • You agree not to post, upload, or distribute any content that is illegal, infringing, defamatory, or harmful.

  • You must comply with all local, regional, and national laws regarding the items you buy or sell.


4. Auction Mechanics

  • Listing Types: We offer on-site, online, and hybrid auctions. Each listing clearly states its type, start/end date, and terms.

  • Reserve & Starting Bids: Some auctions may include a minimum reserve price. If no bid meets the reserve, the item will not sell.

  • Winning Bid: The highest bid at auction close wins the item, provided any reserve price is met.

  • Auction Fees: Buyers and vendors may be subject to fees (e.g., buyer’s premium, listing fees). All applicable fees are disclosed before you confirm participation.


5. Payments, Fees & Refunds

  • Accepted Methods: We accept bank transfers, mobile money, credit/debit cards, and other methods as specified.

  • Transaction Fees: A buyer’s premium, seller’s commission, or listing fee may apply. These fees are clearly indicated before finalizing any transaction.

  • Payment Deadline: Winners must pay the total amount due (purchase price + fees + taxes/shipping) within the deadline specified in the listing.

  • Non-Payment: Failure to pay on time may result in penalties, forfeiture of deposit, and potential suspension of your account.

  • Refund Policy: All sales are final unless an item is materially misrepresented. Refund requests must be submitted within 7 days of item receipt, with supporting evidence. We reserve discretion to approve or deny refunds.


6. Delivery & Collection

  • Buyer Responsibility: Buyers are responsible for arranging item pickup or shipping.

  • Shipping & Handling: If shipping is arranged through us, shipping costs, insurance, and risk of loss transfer to the buyer upon dispatch.

  • Timely Collection: Items not collected or picked up within the specified period may incur storage or disposal fees at the buyer’s expense.


7. Intellectual Property

  • All content on our website—logos, text, images, videos, software, and designs—is owned or licensed by Armstrong Limited and protected by applicable intellectual property laws.

  • You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.


8. Privacy & Data Protection

  • Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to the data practices described in the Privacy Policy.


9. Disclaimers & Limitation of Liability

  • No Warranty: Our Services and all listings are provided “as-is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

  • Accuracy: While we strive for accurate listings, Armstrong Limited does not guarantee the completeness or accuracy of any item description.

  • Limitation of Liability: To the fullest extent permitted by law, Armstrong Limited and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services, including loss of profits or data. Our total liability for any claims under these Terms is limited to the amount of fees paid by you in the preceding 12 months.


10. Indemnification

You agree to indemnify and hold Armstrong Limited, its officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from:

  • Your breach of these Terms.

  • Your listing, bidding, purchase, or sale of any item.

  • Your violation of any law, regulation, or third-party right.


11. Termination & Suspension

  • Account Suspension: We reserve the right to suspend or terminate your account for violating these Terms, engaging in fraudulent activity, or any other conduct we deem harmful to our community.

  • Effect of Termination: Upon termination, your right to access the Services ends immediately. Any outstanding obligations (e.g., payments) survive termination.


12. Dispute Resolution & Governing Law

  • Mediation & Arbitration: If a dispute arises, both parties agree to first attempt informal resolution. If unresolved within 30 days, disputes will be submitted to binding arbitration in accordance with the laws of Uganda.

  • Governing Law: These Terms are governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions. All disputes not subject to arbitration will be filed in the courts of Uganda.


13. Modifications to Terms

  • We may update these Terms from time to time. We will post the revised Terms on our website and update the “Effective Date” accordingly.

  • Your continued use of our Services after any changes indicates your acceptance of the new Terms.
